Jane Walton

Jane Walton was a skilled lawyer, ethicist, teacher, presenter and an expert in corporate governance, board performance and organisational culture.

She specialised in areas where legal duties and constraints interface with the much greyer area of human ethical judgment and decision making.

Jane founded The Walton Group Pty Limited, formerly Henderson Walton Pty Limited, in 2001.

Jane was a regular keynote speaker to both the public and private sectors on ethical and behavioural underpinnings of successful governance systems.

She co-authored a guide for company directors, “Managing Conflicts of Interest” and developed an on-line board review and development program tailored for use in different jurisdictions throughout the world.

Fiona Shand

Fiona Shand

As a lawyer with over 30 years’ experience Fiona Shand has represented directors and professionals in private practice and industry in Australia, Switzerland and Hong Kong.

In Switzerland, she was engaged as Commonwealth legal counsel for a multinational pharmaceutical company and, as a result, was involved in worldwide legal and strategic issues including reporting to boards and committees on governance, compliance and legal issues and specialising in the strategic resolution of corporate and directorial governance, general and shareholder commercial issues, disputes and litigation.

She has represented clients in various inquiries and investigations including Sydney’s Cross City Tunnel collapse and fatality, the Second Building Royal Commission, the HIH Royal Commission for Ray Williams, the NED in the shareholder class action arising from AMP’s takeover of GIO, the Multiplex whistle-blower and APRA investigations into regulated entities.

Fiona is sought by Boards as a resource to assist with the development of sound governance practices, director selection, Board reviews and internal governance enquiries.

A Fellow of the Australian Institute of Company Directors (AICD), since 2006 Fiona has been a senior facilitator of AICD’s local Company Directors Course and their International Company Directors Course. Fiona also presents on developments in the law, corporate governance and is a thought leader in the diversity debate in Australia, New Zealand, Singapore and Hong Kong.

Fiona is an Independent Non-Executive Director within an ASX top 20 listed financial institution and chairs the Risk & Audit Committee.
